1. Acceptance of Terms
By creating an account or using the 1099ly platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our services. These terms apply to all users including businesses, accountants, and individual filers.
2. Description of Service
1099ly provides an online platform that enables users to prepare, validate, and electronically file information returns and tax forms with the Internal Revenue Service and applicable state tax authorities. We act as an authorized transmitter of your filing data but are not a tax advisor or CPA.
3. Account Registration
You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your password and for all activities under your account. Notify us immediately at support@1099ly.com if you suspect unauthorized account access.
4. User Responsibilities
You are solely responsible for the accuracy and completeness of all data you submit through 1099ly. 1099ly transmits exactly what you provide. Errors in recipient names, TINs, or payment amounts may result in IRS penalties for which 1099ly bears no liability. You represent that you have authorization to file the forms you submit.
5. Payment Terms
Fees are charged per form at the time of submission. By providing payment information, you authorize us to charge the applicable fees. All fees are in USD. Fees for forms successfully transmitted to the IRS are non-refundable unless the transmission failed due to our system error. State filing fees are separate from federal fees.
6. Limitation of Liability
To the maximum extent permitted by law, 1099ly's liability to you for any claim arising from use of our services is limited to the total fees you paid to us in the 12 months preceding the claim. In no event shall 1099ly be liable for indirect, consequential, punitive, or incidental damages, including IRS penalties resulting from errors in your submitted data.
7. Intellectual Property
The 1099ly platform, including its software, design, and content, is owned by 1099ly and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform.
8. Termination
We reserve the right to suspend or terminate your account if you violate these Terms or use our services for fraudulent or illegal purposes. You may close your account at any time. Termination does not relieve you of payment obligations for services already rendered.
9. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except for claims eligible for small claims court.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice in the platform at least 30 days before changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
